We are seeking a bilingual Corporate Counsel, fluent in at least both English and Mandarin Chinese (simplified and traditional) to join the Legal department’s global Transactions team to focus on support of commercial transactions in Southeast Asia, Greater China, and more broadly and across the Asia Pacific (APAC) region and potentially other regions of the world as bandwidth allows.

Position Summary 

 

The Corporate Counsel will have primary responsibility for negotiating a wide variety of the company’s commercial transactions, including client service agreements, supplier and vendor agreements, license agreements, non-disclosure agreements, marketing agreements, and other similar contracts.  The Corporate Counsel will focus primarily on transactions in Southeast Asia and Greater China, but also APAC more broadly, as well as other regions of the world as bandwidth allows.  The Corporate Counsel will ensure that the company’s commercial transactions receive appropriate Legal review, have non-standard requirements approved by other internal stakeholders as necessary, are compliant with company’s policies and risk tolerances, and are negotiated consistent with the best practices of in-house commercial transactions counsel.

 

The Corporate Counsel will also be responsible for other legal services and advice as needed based on Rimini Street’s diverse and evolving needs. 

 

This position will report to the Director & Managing Counsel, ANZ based in Australia.

 

Essential Duties and Responsibilities

  • Draft, review, negotiate and close a wide variety of commercial contracts with the company’s clients, suppliers, strategic partners and vendors in Mandarin Chinese and English
  • Work closely with business partners in Sales, Marketing, IT, Service Delivery and other organizations within Rimini Street to successfully close transactions in a manner consistent with company’s policies and best interests
  • Use business acumen and contractual expertise to guide business sponsors on important considerations and decisions relating to the business and legal requirements of the contract
  • Contribute to ongoing process improvement
  • Provide other legal services and advice to the company as needed

Qualifications/Skills/Experience

Education  

  • Graduate of an accredited law school; JD or LLM from an accredited law school a plus
  • Current license to practice law in at least both Singapore and Greater China required

 

Experience, Skills and Desired Attributes

  • At least 4 years (ideally at least 7 years) of relevant experience as a commercial transactions attorney in private practice, in-house, or preferably a mix of both
  • Strong bilingual fluency in English and Mandarin Chinese (simplified and traditional), both written and verbal, required; fluency in any additional languages, especially Malay, is a plus (to supplement language skills across our existing APAC team)
  • Experience and demonstrated competence in complex commercial contracting and transactions practice management, including managing heavy volume and triaging competing priorities
  • Ability and willingness to travel to prospect meetings throughout Southwest Asia required as needed; other occasional domestic and international travel required
  • Experience supporting a Sales team strongly preferred
  • Experience contracting with public sector agencies and through framework procurement models preferred
  • Familiarity with tech or IP industry strongly preferred
  • Ability to perform the essential duties and responsibilities of the position, as described above and as modified from time to time based on Rimini Street’s diverse and evolving needs
  • Exceptional written and verbal communications skills
  • Excellent judgment and sound decision-making
  • Ability to interface professionally and effectively with all levels of personnel internally and externally, up to and including senior executives and other key personnel
  • Ability to work both independently as well as collaboratively as a team player

  • Experience supporting an internal sales organization strongly preferred
  • Experience working for a US tech company preferred
  • Experience handling intellectual property and professional technology issues preferred
  • Experience working remotely from a home office a plus
  • Outgoing and confident personality, friendly demeanor, positive attitude and great sense of humor
